hereinafter referred to as “Talent Boat Agency”

For and in consideration of the mutual promises herein contained, the parties hereby agree as follows.
MANAGEMENT AGREEMENT
This Management Agreement (the “Agreement”) is entered into by and between Talent Boat Agency (“Manager”) and the undersigned model (“Model”) (collectively, the “Parties”). In consideration of the mutual promises contained in this Agreement, the Parties agree as follows:
- Appointment and Exclusivity
Model appoints Manager as their exclusive personal manager throughout the world regarding Model’s career in the celebrity, modeling, fashion, and entertainment industries (the “Fields”). Model shall not engage any other person or entity to render similar management services during the Term.
- Management Services
Manager will advise, counsel, and guide Model in developing their career within the Fields. These services include, but are not limited to:
- Advising on the selection of career opportunities, photographers, and advertisers.
- Assisting with the creation of promotional materials, including composites (comp cards) and portfolios.
- Advising on publicity, public relations, and advertising strategies.
- Model’s Obligations and Referrals
Model agrees to seek Manager’s advice regarding all professional endeavors in the Fields. Model must immediately inform Manager of all employment offers and refer all inquiries regarding their professional services directly to Manager.
- Promotion and Likeness Rights
Model grants Manager the exclusive right to use, distribute, and license Model’s name, voice, portrait, likeness, and pictures for advertising, publicity, and promotional purposes related to Model’s career and Manager’s business.
- Non-Exclusive Services for Manager
Model acknowledges that Manager may publicize that it represents Model. Manager reserves the right to represent other talent and engage in other business ventures, including those that may compete directly with Model.
- Promotional Materials
Model will provide Manager with current photographs, comp cards, tear sheets, and other relevant promotional materials at Model’s own expense to assist Manager in promoting Model.
- Commission and Payment Terms
- Commission Rate: Model will pay Manager a commission equal to the percentage selected in the Term & Tier Selection Table in Section 13 below (twenty percent (20%) or thirty percent (30%)) of all gross compensation, fees, or income earned directly or indirectly by Model from any contract entered into during the Term (and any renewals), including all reuses and residuals, regardless of whether originated by Manager.
- Limited Power of Attorney: Model grants Manager a limited Power of Attorney to collect all fees and gross earnings due to Model. Manager will deposit these funds into its general account, deduct the applicable commission, and remit the net balance to Model.
- Payment Instructions: Model will instruct all clients, producers, and advertising agencies in writing on all job contracts to pay all fees directly to Manager.
- Signing Authority: This limited Power of Attorney authorizes Manager to sign standard model releases and approve reuses or residuals on Model’s behalf.
- Agency Expenses and Chargebacks
Manager may advance funds on behalf of Model for website hosting fees, portfolio presentation software, test shoots, composite card printing, or emergency travel. Model authorizes Manager to deduct these pre-approved, documented expenses directly from Model’s gross earnings before transferring the net balance.
- Client Usage Rights and Image Buyouts
Model understands that clients are only granted specific usage rights (e.g., 1 year online, billboards, TV print) as negotiated by Manager. If a client uses Model’s image or likeness beyond the agreed time frame or territory, Model is entitled to buyout or renewal fees, which are subject to Manager’s standard commission as outlined in Section 7.
- Digital Assets and Social Media Engagement
- Influencer & Social Media Work: The definition of “Fields” includes all social media campaigns, brand ambassadorships, user-generated content (UGC), and influencer bookings.
- Account Access: Model retains ownership of their personal social media accounts but must consult Manager before posting sponsored content that might conflict with Manager’s active bookings.
- Agency Promotion: Manager may repost and share Model’s public social media content to promote the Model and the agency.
- Independent Contractor Status
Model operates as an independent contractor and is a separate business entity. Model is solely responsible for their own taxes (income or otherwise), insurance, and any liabilities or damages arising from their work.
- Nature of Relationship
Manager acts strictly as a personal manager. Manager is not an employment agency or talent agent and does not guarantee employment or bookings.
- Term, Commission, and Tier Selection
Model selects their membership status, initial term length, and matching commission rate by signing exactly one option below:
- Amateur Member Tier: 2-Year Term with a 20%-30% Commission Rate

(Model Signature to Accept Premium Tier: ____________________) - Model’s Right to Terminate: Model may terminate this Agreement by providing ninety (90) days’ written notice delivered via registered mail to Manager’s official address.
- Effect of Booking Cancellations: If Model terminates after a booking or placement has been scheduled, Model must honor the booking. If Model fails to do so, Model must reimburse Manager for all lost revenue, costs, and any damages owed to the client due to the cancellation.
- Automatic Renewal
Unless either party provides a written notice of non-renewal at least ninety (90) days before the end of the current term, this Agreement will automatically renew every two (2) years on the anniversary date.
- Client Service Charges
Model acknowledges that Manager may charge clients a separate service or agency fee. This service charge belongs entirely to Manager and will not reduce Model’s gross earnings or reimbursement.
- Sub-Agency Placement
Manager will use reasonable efforts to help Model secure sub-agency placement outside of Nigeria. For bookings secured by an approved external sub-agency, Model is not required to pay Manager the commission outlined in Section 7. Manager may, however, receive compensation directly from the sub-agency.
- Professional Conduct and Morals Clause
Model agrees to act with professionalism, dignity, and propriety at all times. Model will do nothing to damage the reputation, brand, or goodwill of themselves or Manager, nor engage in any behavior that impairs their mental or physical ability to perform. Model must follow all of Manager’s rules regarding castings and bookings. Manager may terminate this Agreement upon five (5) days’ written notice if Model breaches this section.
- Model Safety and Workplace Environment
Manager will use reasonable efforts to ensure clients provide a safe, professional working environment free from harassment, discrimination, or unsafe physical conditions. Model has the right to immediately report and refuse any working conditions that feel unsafe or abusive, without penalties from Manager.
- Contests and External Training
While this Agreement is active, Model will not enter any modeling or acting contests, pageants, or competitions sponsored by other companies without Manager’s prior written consent. Model must also obtain written permission before accepting free professional training or promotional trips from any external entertainment industry business.
- Data Privacy and Protection
Manager will collect, store, and process Model’s personal data (including photos, measurements, contact info, and bank details) strictly in compliance with the Nigeria Data Protection Act (NDPA). Manager may share Model’s promotional data with verified third-party clients, casting directors, and sub-agencies solely for booking purposes.
- No Waiver
A failure or delay by either party to enforce any provision of this Agreement does not constitute a waiver of that provision or the right to enforce it in the future.
- Injunctive Relief
Model acknowledges that its services are unique and extraordinary, and that a breach of this Agreement cannot be adequately compensated by money alone. In the event of a breach or threatened breach by Model, Manager is entitled to seek an injunction to prevent the breach, alongside any monetary damages allowed by law.
- Entire Agreement and Amendments
This Agreement constitutes the entire understanding between the Parties regarding this subject matter. It supersedes all prior discussions or promises. Any changes, modifications, or amendments must be made in writing and signed by both Parties. If any court finds a specific clause invalid or unenforceable, that clause will be removed, and the rest of the Agreement will remain fully valid.
- Representation of No Conflicts
Model warrants and represents that they are not under any active, binding contract with another management company or agency that would conflict with or supersede this Agreement.
- Governing Law and Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria. The Parties agree that any legal actions, disputes, or proceedings arising out of this Agreement shall be brought exclusively in the courts located in Nigeria.
- Binding Effect
This Agreement is binding upon both Parties, as well as their respective heirs, successors, legal representatives, and permitted assigns.
